ECOMMANALYTICS.COM LTD (trading as ECOMMANALYTICS.COM), a company incorporated in England and Wales with registered number 15064486, having its registered office at 8 Halsall Green, Spital, Wirral, England, United Kingdom, CH63 9NA (hereinafter referred to as “EADC”).

And
The Customer

Together: The Parties

By utilising our service, you acknowledge that you have reviewed and comprehended these General Terms and Conditions (“General Terms”). To access our service, you consent to abide by these General Terms. The person who enters into an order on your behalf confirms their authority to bind you to these General Terms. In exchange for valuable consideration, both ECOMMANALYTICS.COM LTD and you, the Customer, mutually agree as follows:

  1. General

1.1 These General Terms are applicable to the provision of our Service to you and your use of the Service.

1.2 In the event of any inconsistency or conflict between the terms and conditions in this Agreement, the following order of precedence will be followed:
(i) the Order (as defined below);
(ii) any schedules or exhibits included or referenced in these General Terms;
(iii) these General Terms.

  1. Definitions

“Agreement” refers to these General Terms and any Order referencing these General Terms, as well as any other schedules, addenda, supplements, statements of work, exhibits, or appendices attached or incorporated by reference.

“Confidential Information” means any non-public information disclosed by one Party (“Disclosing Party”) to the other Party (“Receiving Party”) that is either designated as confidential or should reasonably be understood to be confidential. This includes, with respect to you, Customer Data, marketing and business plans, and financial information, and with respect to EADC: (a) the Service and related terms, including computer software (both object and source code), techniques, methods, processes, designs, and all application program interfaces, system security, and architecture; and (b) EADC’s research and development, service offerings, pricing, and availability.

“Customer” means the entity that has entered into this Agreement, either through the execution of an Order, by initiating the use of the Service after signing up on ECOMMANALYTICS.COM, or by any other legally binding method of acceptance.

“Customer Data” includes any data imported into the Service or generated from such data as a result of your use of the Service.

“Data Destination” refers to our website where your data is showcased in a visual form.

“Data Source” is a digital source provided by your third-party service provider from which Customer Data is imported for use in the Service (e.g., Facebook Ads, TikTok Ads, or Shopify).

“Documentation” encompasses EADC’s technical and functional documentation for the Service, as well as the importing and exporting of data, available for customers at the time.

“Effective Date” means either the start date for the Service specified in the Order or the date you commence using the Service.

“EADC” refers to ECOMMANALYTICS.COM LTD.

“Intellectual Property Rights” encompass copyrights, trademark rights, patent rights, database rights, and other intellectual property rights.

“Media Agency” refers to a company using the Service to provide media services or products to its clients.

“Order” means the written order form or order confirmation provided by EADC, which includes pricing, Plan, Subscription Period, and references to these General Terms.

“Party” or “Parties” means either EADC or you, or both together.

“Plan” specifies the applicable plan for your use of the Service, as outlined in the Order and/or the Service’s user interface.

“Service” denotes EADC’s software-as-a-service for measuring, analysing, and reporting advertising, marketing, and other business data via www.ecommanalytics.com.

“Subscription Period” refers to the current duration of your subscription to use the Service, as indicated in an applicable Order and/or the Service’s user interface.

“User” is any of your employees who are provided with account credentials to access and use the Service.

  1. Use of the Service

3.1 Provision of the Service
Subject to Customer’s payment of applicable fees, EADC shall make the Service available to Customer during the Subscription Period and grants a non-exclusive, non-transferable right to permit Users to access and use the Service solely for Customer’s internal business purposes.

3.2 Usage and Capacity
Customer may increase the number of stores or Data Connections within their plan; pricing may be adjusted accordingly by mutual agreement.

3.3 Restrictions
Customer shall not sublicense, sell, rent, reverse-engineer, or use the Service to build competing products.

3.4 Change or Modification of the Service
EADC may change or modify the Service at any time. Where a core feature is removed without replacement, Customer may terminate within thirty (30) days of the change.

3.5 Setup and Support
EADC shall provide setup and support according to the applicable Plan.

3.6 Information Security
EADC undertakes to use industry-standard practices for information security. Details are available at https://www.ecommanalytics.com/security.

  1. Customer Responsibilities and Obligations

4.1 Customer Data
Customer is solely responsible for the accuracy and legality of their data and compliance with privacy laws.

4.2 Use of Data
EADC may analyse anonymised usage data to improve the Service and provide insights.

4.3 Customer Account
Customer is responsible for all activities under its account and must notify EADC of unauthorised access.

4.4 User Information
User information is processed in accordance with our Privacy Policy.

4.5 Suspension
EADC may suspend accounts for non-payment or misuse and terminate if not rectified within 7 days.

  1. Ownership of Intellectual Property Rights

5.1 EADC IP
EADC, or its licensors, own all intellectual property in the Service, Documentation, and related materials.

5.2 Customer IP
Customer retains ownership of its data. The Customer’s brand logo may be used on ECOMMANALYTICS.COM’s website or within the Customer’s dashboards for identification purposes.

  1. Fees and Payment

6.1 Your Payment
Price per month as stated during Stripe setup and visible in your EADC billing area.

6.2 Fees
All fees are non-refundable unless expressly stated.

6.3 Payment
Fees are billed monthly via Stripe. Overdue payments beyond 7 days may result in account suspension and deletion.

6.4 Taxes
All fees exclude applicable taxes. Customers will be notified if VAT registration is introduced.

6.5 Fee Increase
EADC reserves the right to increase fees with two months’ notice prior to renewal.

6.6 Cancellation
A 30-day notice is required before cancellation. Subscriptions end the day before the next billing date.

6.7 Non-Payment and Debt Collection
If payment remains overdue after 14 days, EADC may initiate debt recovery and report unpaid debts where legally permissible.

  1. Confidentiality

7.1 Restrictions on Use and Disclosure
The Receiving Party shall protect Confidential Information and disclose it only where necessary under confidentiality obligations.

7.2 Exclusions
Confidentiality does not apply to public, previously known, or independently developed information.

7.3 Disclosure Required by Law
If legally required to disclose, the Receiving Party shall notify the Disclosing Party when possible.

7.4 Account Access
Access credentials are provided to Clodagh at ECOMMANALYTICS.COM for setup. Contractors only access anonymised data through secure dashboard systems. All contractors sign NDAs.

  1. Subscription Plans

8.1 Pricing and Quotation
Plans are custom and depend on the number of marketing accounts and stores.

8.2 Personalisation and Customisation
Requests are submitted via email to hello@ecommanalytics.com or your designated Slack channel.
Up to 5 hours of customisation per month are included; additional hours are billed at £45/hour plus taxes.

  1. Benchmarking and Liability of Data

9.1 Benchmark Data
We may use anonymised and aggregated data for benchmarking.

9.2 Reporting
Benchmark Data is used to generate anonymised performance insights.

9.3 Data Protection
All Benchmark Data is anonymised and cannot identify you.

9.4 Licence to Use Data
You grant EADC a non-exclusive licence to use anonymised data for benchmarking purposes.

9.5 Data Security
EADC will maintain industry-standard security measures.

9.6 Opt-Out
To opt out of benchmarking, notify EADC in writing at hello@ecommanalytics.com.

9.7 Limitation of Liability
EADC endeavours to ensure accuracy but cannot guarantee completeness of data.
